Strategy filed an SEC proxy to pay STRF, STRC, STRK and STRD dividends daily instead of quarterly or twice-monthly. Payouts don’t change — only the schedule.
Strategy filed a preliminary proxy statement with the SEC on September 25, 2026, asking shareholders to approve daily dividend payments on four of its preferred stocks: STRF, STRC, STRK, and STRD. Under the proposal, every calendar day — weekends and holidays included — becomes a dividend record date, with payment landing the next business day.
The company was clear on one point: this doesn’t increase what investors get paid. STRF, STRK, and STRD currently pay quarterly; STRC pays twice a month. All four would move to 365 record dates a year (366 in a leap year), but the total annual dividend, the dividend rates, and Strategy’s overall payment obligations stay the same. The filing even spells out how the math works: daily amounts round down to the nearest cent, except on STRC’s 15th-of-month and month-end dates, which absorb the leftover cents so each half-month still totals the full payment.
Timing depends on shareholder approval at a virtual special meeting set for October 28. If it passes, STRC switches first, starting November 1 with its first daily payment on November 2. STRF, STRK and STRD follow on January 1, 2027, with first payments January 4. Shareholders of record as of September 25 are the ones who get to vote.
The move follows a rough stretch for STRC specifically. The stock is built to hold close to its $100 par value through a dividend rate that Strategy adjusts monthly, but it slid to around $89 in June 2026, its lowest price since it began trading in 2025. Saylor said on X that switching to daily dividends is meant to support “price stability, liquidity, and demand” for the securities. Smaller, more frequent payments are a common way issuers try to make an instrument trade more like cash and less like a bond with long gaps between coupons — but whether it actually holds STRC near par is something the market, not the filing, will decide.
Closing Analysis:
The filing itself is mechanical: same money, paid in smaller, more frequent pieces. What matters is why. STRC’s slide to $89 earlier this year shows the strain of keeping a bitcoin-linked preferred stock pinned to par, and daily dividends are Strategy’s latest attempt to smooth that out without touching the economics investors already agreed to. The vote on October 28 decides whether the change happens at all; STRC’s price in the weeks after implementation will show whether it worked.
